Introduction
The object of the MLB - The Vault Challenge (the "Contest") is to select the Major League Baseball (¡°MLB¡±) players (¡°Players¡±) and MLB Clubs ("Clubs") you think will lead the ¡°Decade¡± in nine (9) categories described below (each, a ¡°Challenge¡± and collectively, the ¡°Challenges¡±). For purposes of this Contest, the "Decade" shall mean, collectively, the ten (10) MLB seasons beginning with the 2020 MLB season and continuing through the 2029 MLB season. To enter, you must complete an online form by selecting a Player or Club for each of the nine (9) Challenges. Your goal is to use your skill and knowledge of MLB to try to pick the correct Player or Club for each of the nine (9) Challenges. Any MLB season(s) shortened, lengthened or not played ¨C for any reason or for any duration ¨C will have no effect on the definition of the Decade.
Eligibility
The Contest is open only to legal residents of the United States including its commonwealths, territories and possessions (collectively referred to herein as "states") and Canada (excluding residents of the Province of Quebec) who are of legal age of majority in their jurisdictions of residence (and at least eighteen (18) years of age) as of the time of entry with a valid e-mail address. Excluded residents may play, but WILL NOT be eligible to receive any prizes. Void in the Province of Quebec and where prohibited by law, rule or regulation. Sponsor will have the right, in its discretion, to require proof of identity and/or eligibility in a form acceptable to Sponsor (including, without limitation, government-issued photo identification) for verification purposes. Failure to provide such proof to the satisfaction of Sponsor in a timely manner may result in suspension or disqualification.
Employees, officers and directors (including immediate family members (spouse, parent, child, sibling and their respective spouses, regardless of where they reside) and any person residing in their same households, whether or not related) of the MLB Entities (defined below), and each of their respective parents, affiliated companies, subsidiaries, licensees, distributors, dealers, retailers, printers, advertising and promotion agencies, and any and all other companies associated with the Contest at any time during the Entry Period (defined below) or the Decade, are not eligible to participate or win the Grand Prize (defined below). The "MLB Entities" shall mean MLB Advanced Media, L.P. ("Sponsor,"), the Office of the Commissioner of Baseball ("BOC"), its Bureaus, Committees, Subcommittees and Councils, Major League Baseball Properties, Inc., The MLB Network, LLC, the Major League Baseball Clubs ("Clubs"), each of their parent, subsidiary, affiliated and related entities, any entity which, now or in the future, controls, is controlled by, or is under common control with the Clubs or the BOC, and the owners, general and limited partners, shareholders, directors, officers, employees and agents of the foregoing entities. The Contest is subject to all applicable federal, state, territory, provincial and local laws, rules and regulations.
How to Enter
The Contest entry period begins at 9:00 a.m. Eastern Time ("ET") on March 3, 2020, and ends at 4:00 p.m. ET on the Lock Date (defined below) May 1, 2020. (the "Entry Period"). Update: the Entry Period has been extended. The ¡°Lock Date¡± will mean 30 days following the official start of the first MLB regular season occurring with a start date after May 1, 2020. Online entry only. No other method of entry will be accepted. Limit one (1) entry per person and per valid e-mail address. Additional entries submitted later in time by any person or e-mail address during the Entry Period will void and replace any existing entry submitted by such person or e-mail address, subject to Lock Time (as defined below). In other words, the last entry you submit prior to Lock Time is the only valid entry for the Contest - all other entry(ies) you submit are void. To enter, click on the Contest banners, buttons and/or links to access the online entry form for the Contest. By successfully transmitting a completed online entry form as directed and selecting an answer for each of the nine (9) Challenges (collectively, an ¡°Entry¡±), you will be entered in the Contest. Entries must be received during the Entry Period to be eligible. All entries must include a valid e-mail address for the participant. Please note that all information submitted by participants is subject to, and will be treated in a manner consistent with, the MLB Terms of Use accessible at /official-information/terms-of-use (¡°Terms of Use¡±) and Privacy Policy accessible at: mlb.com/privacy (¡°Privacy Policy¡±). Entries generated by script, macro or other automated means or utilizing any other method or means which, in Sponsor¡¯s sole discretion, impacts the integrity of the Contest or is in violation of these Official Rules are void. Entrants to the Contest may be given the option to receive (a) commercial e-mail from Sponsor and/or its affiliates, and/or (b) mobile text messages and updates from Sponsor; however, eligibility to participate in the Contest is not dependent upon entrant's consent to receive such e-mails and/or mobile text messages and updates and consenting to receive such e-mails and/or mobile text messages and updates will not impact any entrant's chances of winning. Contest Administration
By entering and/or participating in the Contest, each participant agrees that Sponsor will solely resolve any disputes and rules violations that arise in connection with the Contest. Sponsor¡¯s computer shall be the official clock of the Contest. All decisions by Sponsor regarding the Contest shall be final and binding in all respects. Any incidence of collusion or cheating, as determined by Sponsor in its sole discretion, will be subject to disqualification from the Contest without limitation to any other rights or remedies available to Sponsor. Challenges
Follow the instructions provided to select the Player or Club, as applicable (each such selection, a ¡°Selection¡±), that you think will lead the Decade for each of the following Challenges:
- Total Home Runs by a Player (regular season only) (¡°Challenge #1¡±)
- Total Hits by a Player (regular season only) (¡°Challenge #2¡±)
- Total Pitcher Wins by a Player (regular season only) (¡°Challenge #3¡±)
- Total Pitching Strikeouts by a Player (regular season only) (¡°Challenge #4¡±)
- Total Club Wins by a Club (regular season only) (¡°Challenge #5¡±)
- Total World Series titles by a Club (¡°Challenge #6¡±)
- Total MVP Awards by a Player (¡°Challenge #7¡±)
- Total Cy Young Awards by a Player (¡°Challenge #8¡±)
- Total All-Star Game selections by a Player, including if the Player is selected for an All-Star Game but does play in such All-Star Game (¡°Challenge #9¡±)
Selections
When making a Selection for the Player-specific Challenges (i.e. Challenge #1 through Challenge #4 and Challenge #7 through Challenge #9), you must either select one (1) Player from a list displayed by Sponsor or write in the full name of any other name you choose, including active Players as well as potential future Player as of the Lock Time. If any other Player(s) in the Decade has the same name (i.e. same exact spelling of the first and last name) as a Player you select, you will be eligible for Points (defined below) if any such Player(s) ranks in the top four (4) for the applicable Challenge and subject to any applicable tiebreakers.
Sponsor in its sole discretion will review and determine the eligibility of all write-in submissions.
When making a Selection for the Club-specific Challenges (i.e. Challenge #5 and Challenge #6), you must select among the thirty (30) Clubs that exist as of the Lock Time.
Note: If a Club moves to a different city and/or changes its name during the Decade, such Club will still be considered for purposes of accruing Points as if its location and/or name had not changed. There is no opportunity to write in a Club during the Entry process, so if MLB expands to more than thirty (30) Clubs during the Decade, additional Club(s) will not be considered for purposes of this Contest.
Selection Deadline
The deadline for submitting an Entry is 4:00 p.m. ET on the Lock Date May 1, 2020 (the "Lock Time"). If you fail to submit an Entry before the Lock Time, you will not be eligible to participate in the Contest. Once you have submitted your Entry, you may change your Selections at any time prior to the Lock Time. New Selections will not be saved until you re-submit your Entry. No Entry may be revised after the Lock Time.
Scoring
The top (4) four Players or Clubs, as applicable, for each Challenge will earn points (¡°Points¡±) for an Entry. Points will be allocated for each placement (i.e. 1st place, 2nd place, 3rd place or 4th place) as set forth below. Only four (4) Player or Club finishes will qualify to earn Points. This means that if there is a tie of any kind, Points will be awarded until four (4) total Players or Clubs, as applicable, have been accounted for provided that if more than one (1) set of Points for a place is awarded, the next placement (or more, as applicable) will not be awarded. For example, if two (2) players have the most home runs during the Decade, there will be two (2) first (1st) place Points allocations, one third (3rd) place Point allocation and one fourth (4th) place Point allocation. No second (2nd) place Point allocation will be awarded as two (2) first (1st) place Points were allocated and four (4) total Players would have led to points allocations.
Each Entry will be scored and receive Points as follows unless multiple Players or Clubs, as applicable, have tied in results in the specific Challenge in which event, each Player or Club that is within the top four (4) Players or Clubs (as applicable) will receive Points as described in the prior paragraph. Points are, as determined and verified by Sponsor in its sole discretion based on official MLB results:
Correct Selection for any Challenge: Ten (10) Points
Selection finishes second (2nd) for any Challenge: Seven (7) Points
Selection finishes third (3rd) for any Challenge: Four (4) Points
Selection finishes fourth (4th) for any Challenge: One (1) Point
The maximum number of Points an Entry may receive is ninety (90) Points.
The eligible participant who accumulates the most Points (and at least thirty-six (36) Points) based on the results of his/her Entry, as determined by Sponsor in its sole discretion based on official results, will be deemed the official winner of the Contest (the "Grand Prize Winner"), subject to verification of eligibility and full compliance with the terms of these Official Rules. In the event of a tie for the Grand Prize, the Tiebreakers (defined below) will be used among the remaining tied participants to determine one (1) Grand Prize Winner. IN NO EVENT WILL MORE THAN ONE (1) GRAND PRIZE BE AWARDED.
Grand Prize
The Grand Prize Winner, if any, will receive one million U.S. dollars (USD$1,000,000) (the "Grand Prize"). Approximate Retail Value of the Grand Prize: one million U.S. dollars (USD$1,000,000). IN NO EVENT WILL MORE THAN ONE (1) GRAND PRIZE BE AWARDED.
NOTE: GRAND PRIZE WILL ONLY BE AWARDED IF AN ELIGIBLE PARTICIPANT ACCUMULATES AT LEAST THIRTY-SIX (36) POINTS, AS DETERMINED BY SPONSOR, IN ACCORDANCE WITH THESE OFFICIAL RULES.
GRAND PRIZE CONDITIONS: Grand Prize Winner is fully responsible for any and all applicable federal, state, territory, provincial and local taxes (including income and withholding taxes). All costs and expenses associated with the Grand Prize acceptance and use not specified herein as being provided including, but not limited to, any and all cost and expenses incurred by accepting and using the Grand Prize are the sole responsibility of the Grand Prize Winner. The Grand Prize will be awarded in the form of a check in U.S. dollars as one (1) lump sum. The Grand Prize is non-transferable and non-assignable, with no cash redemptions except at Sponsor's sole and absolute discretion. Sponsor reserves the right to substitute the Grand Prize (or any portion thereof) with one of comparable or greater value at its sole and absolute discretion.
Tiebreakers
In the event of a tie for the Grand Prize, the following tiebreakers (the "Tiebreakers") will be used among the tied participants in the following order:
- Points scored for Challenge #1;
- Points scored for Challenge #2;
- Points scored for Challenge #3;
- Points scored for Challenge #4;
- Points scored for Challenge #5;
- Points scored for Challenge #6;
- Points scored for Challenge #7;
- Points scored for Challenge #8;
- Points scored for Challenge #9; and
- In the event that the tie is still not broken after applying the tiebreakers above, the Grand Prize will be divided evenly among all remaining tied, eligible entrants.
For the avoidance of doubt, the participant(s) with the greater number of Points in the applicable Challenge will be deemed the winner of the applicable tiebreaker.
General Conditions
By participating, each participant accepts and agrees to be bound by these Official Rules, the Privacy Policy and Terms of Use, and by the decision(s) of Sponsor which shall be final and binding in all respects.
Prize Notification
The potential winner will be notified by e-mail and/or telephone (in Sponsor¡¯s discretion) and may (in Sponsor's discretion) be confirmed by postal mail, return receipt (the "Prize Notification"). Subject to verification of eligibility and compliance with the terms of these Official Rules, the individual who submitted the winning Entry will be declared the official winner of the Contest. In the event that any potential winner does not respond to any such Prize Notification within five (5) calendar days of the date of issuance, or declines the prize for any reason, a disqualification will result and prize will be forfeited and, at Sponsor¡¯s sole discretion and time-permitting, awarded to the runner-up, provided such runner-up scored at least thirty-six (36) Points. It is the sole responsibility of the entrant to notify Sponsor if his or her e-mail address, phone number or other contact information has changed. To update your contact information, please send an e-mail to MLB Customer Service. The potential winner will be required to complete and return any required tax forms, submit his/her valid social security number and/or other identification to Sponsor and execute, have notarized and return an Affidavit of Eligibility (or, if a resident of Canada, a declaration) and Release of Liability and, unless prohibited by law, Publicity within five (5) days of the date of issuance. Failure to submit any identification required by Sponsor or to return any required documents within the specified time period, noncompliance with these Official Rules or the return of any prize or Prize Notification as undeliverable may result in disqualification and prize will be forfeited and, at Sponsor's sole discretion and time permitting, awarded to the runner-up, provided such runner-up scored at least thirty-six (36) Points.
Each participant agrees to allow Sponsor and its designees to use their names and likenesses in any and all media or format(s) now or hereafter known for advertising and publicity purposes throughout the world in perpetuity, without any compensation, notification or permission unless prohibited by law. All applicable federal, state, territory, provincial and local laws and regulations apply. Sponsor's failure to enforce any term of these Official Rules shall not constitute a waiver of that provision. The MLB Entities, Apple., Inc., and each of their respective parent companies, trustees, subsidiaries, franchisees, assignees, affiliates, licensees, agents, independent contractors, telecasters, sponsors, licensees and advertising and promotional agencies, and each of their respective general and limited partners, members, shareholders, officers, directors, agents, employees, representatives and contractors (collectively, the "Released Parties") shall not be responsible for lost, late, stolen, garbled, delayed, undelivered or misdirected entries, selections or entries, for incorrect, inaccurate or incomplete entry information whether caused by a participant, equipment, or technical malfunction or for any human error, technical error or malfunctions.
MLB game dates and times are determined in the sole discretion of the Office of the Commissioner of Baseball and/or the applicable Club, as applicable, and may be subject to change. The Released Parties will not be responsible for weather conditions, Acts of God, acts of terrorism, civil disturbances, work stoppage or any other natural disaster that may cause the cancellation or postponement of any MLB game, event or exhibition.
Released Parties are not responsible for any technical, computer, network, typographical, printing, human or other errors relating to or in connection with this Contest, including, without limitation, errors or problems which may occur in connection with the offer or administration of this Contest, the processing of entries, selections or entries, the tabulation of scores, the cancellation of games or any errors appearing in any Contest related-materials, including, but not limited to, errors in advertising, the Official Rules, the selection and announcement of the prize winner(s) or the distribution of the prizes. Sponsor reserves the right to modify these Official Rules for clarification purposes without materially affecting the terms and conditions of the Contest.
The Released Parties make no warranties, express or implied, relative to the use or enjoyment of any prize (or any portion thereof) including, without limitation, its quality, merchantability or fitness for a particular purpose. By entering the Contest, each participant agrees to indemnify, hold harmless and fully release the Released Parties and Facebook from any and all claims, demands, losses, promises, causes of action and/or liabilities for any injuries, losses, death, or damages of any kind caused, directly or indirectly, in whole or in part, by participation in, or preparation for, the Contest, Contest-related activity, participant's entry, or resulting from the acceptance, possession, quality, use or misuse of any prize (or any portion thereof), including any travel or any activity related to the receipt or use of any prize (or any portion thereof). Apple, Inc. is not a sponsor of, or responsible for conducting, the Contest. All information submitted by participants in connection with this Contest is provided to Sponsor and not to Facebook. If the Contest is not capable of running as planned for any reason including, without limitation, as a result of infection by computer virus, bugs, tampering, unauthorized intervention, fraud, technical failures, cancellation of games or any other causes which corrupt or affect the administration, security, fairness, integrity, or proper conduct of this Contest, Sponsor reserves the right at its sole and absolute discretion, to disqualify any individual who tampers with the entry process, and to cancel, terminate, modify or suspend the Contest and, if terminated, to determine the winner(s), if any, from among all eligible, non-suspect scores achieved up to the point of termination.
The Released Parties assume no responsibility for any error, omission, interruption, deletion, defect, delay in operation or transmission, communications line failure, theft or destruction or unauthorized access to, or alteration of, entries. The Released Parties are not responsible for any problems or technical malfunction of any telephone network, cable, satellite, wireless Internet Service Provider (ISP) or lines, computer systems, servers, or providers, computer equipment, software, malfunctions of wireless devices, wireless service problems, cellular tower equipment, failure of any e-mail or entry to be received on account of technical problems or traffic congestion on the Internet or at any website or wireless service congestion, or any combination thereof, including any injury or damage to participant's or any other person's computer related to or resulting from participation or downloading any materials in this Contest.
CAUTION: ANY ATTEMPT TO DELIBERATELY DAMAGE ANY WEBSITE ASSOCIATED WITH THIS CONTEST OR UNDERMINE THE CONTENT OR LEGITIMATE OPERATION OF THIS CONTEST MAY BE A VIOLATION OF CRIMINAL AND CIVIL LAWS AND SHOULD SUCH AN ATTEMPT BE MADE, SPONSOR WILL DISQUALIFY ANY PARTICIPANT RESPONSIBLE FOR THE ATTEMPT, AND SPONSOR AND/OR ITS AGENTS RESERVE THE RIGHT TO SEEK DAMAGES (INCLUDING ATTORNEYS' FEES) AND OTHER REMEDIES FROM ANY PERSON OR PERSONS RESPONSIBLE FOR THE ATTEMPT TO THE FULLEST EXTENT PERMITTED BY LAW.
In the event of a dispute as to the identity or eligibility of any potential winner based on an e-mail address, the winning entry will be declared made by the Authorized Account Holder of the e-mail address submitted at the time of entry provided he/she is eligible according to these Official Rules. "Authorized Account Holder" is defined as the natural person to whom the applicable Internet service provider or other organization (such as a business or educational institution) has assigned the e-mail address for the domain associated with the submitted e-mail address.
As a condition of entering this Contest, each entrant agrees that (A) any and all disputes, claims, controversies or causes of action arising out of or relating to this Contest, or any prizes awarded (each, a "Claim"), shall be (1) arbitrated on an individual basis only, and shall not be consolidated or joined with or in any arbitration or other proceeding involving a Claim of any other party, and (2) settled by binding arbitration in New York County, New York before a single arbitrator appointed by the American Arbitration Association in accordance with its then governing rules and procedures, and judgment on the award rendered by the arbitrator may be entered by any court having jurisdiction thereof; and (B) under no circumstance will entrant be permitted to obtain awards for, and entrant hereby waives all rights to claim, punitive, incidental, consequential or any other damages, other than for actual out-of-pocket expenses. These Official Rules shall be governed by and construed and interpreted in accordance with the laws of the State of New York, U.S.A, applicable to contracts entered into and performed exclusively in that State.
In the event that the Contest is challenged by any legal or regulatory authority, Sponsor reserves the right to discontinue or modify the Contest, or to disqualify participants residing in the affected geographic areas. In such event, the Released Parties shall have no liability to any participants who are disqualified due to such an action.
